These Terms and Conditions ("Terms") govern your use of Project Baseline's website, the AI Readiness Self-Audit, and any paid Project Baseline service. "Project Baseline," "we," "us," "our" refers to Project Baseline LLC, an Illinois limited liability company. "You" refers to the individual or organization using the service.
By using our service, you agree to these Terms. If you do not agree, do not use the service.
1. The Service
- The free AI Readiness Self-Audit is an informational document personalized to inputs you provide. It is a thinking tool, not a substitute for legal, financial, or professional advice.
- Paid services include 1-Hour Strategy Consultation ($199), Basic Agent Setup ($499), Intelligence Brief ($249), Grant Match Brief ($249), Foundation Package ($1,500), Growth Package ($3,500), Grant-Ready Package ($5,000), Grant Application Writing ($1,500-$7,500), and Ongoing Strategic Advisory ($1,500/month). Each has a defined scope described at the time of purchase.
- We may modify the scope, pricing, or availability of any service. Modifications do not retroactively affect engagements already in progress.
2. Payment
- Payment is processed by Stripe. We do not handle credit card numbers directly.
- One-time fees are charged in full at purchase.
- Subscription services (Ongoing Advisory at $1,500/month) renew automatically each month until cancelled. You can cancel at any time by emailing todd@project-baseline.com at least 7 days before your next billing date.
- All fees are in US dollars and exclusive of taxes. You are responsible for any applicable sales tax in your jurisdiction.
3. Refunds
- Before work begins: Full refund within 24 hours of purchase, no questions asked. Email us to request.
- After work begins (consultation booked, intake completed, or build started): Refunds are evaluated case by case. Generally, partial refunds are available if we have not delivered the agreed scope.
- After delivery: No refund. If you are not satisfied with a delivered report or build, contact us within 14 days and we will work with you on a revision or replacement at no additional charge, at our discretion.
- Subscription cancellations: No partial refunds for the current billing month. Cancellation takes effect at the end of the current month.
4. Delivery timelines
- 1-Hour Strategy Consultation: Booked within 14 days of purchase via the Calendly link in your confirmation. Session held within 30 days unless you reschedule.
- Basic Agent Setup: Discovery call within 14 days; full delivery within 30 days from discovery call.
- Intelligence Brief and Grant Match Brief: 5 business days from the time you complete the intake form.
- Foundation, Growth, and Grant-Ready Packages: 4 to 8 weeks per scope, communicated at engagement kickoff.
- Grant Application Writing: Subject to the deadline of the grant being applied for.
- Delivery timelines assume you provide requested inputs (intake forms, documents, scheduling) on time. Delays in your inputs extend the delivery window day for day.
5. Intellectual property
- Deliverables you own. Once you have paid for a service in full, you own the deliverables produced for you (reports, system prompts, configured agents, etc.) and may use them however you choose.
- Methodology we retain. Project Baseline retains ownership of our methodology, frameworks, templates, prompt patterns, and the underlying engine. You receive the output, not the engine.
- Your inputs remain yours. Anything you share with us (documents, data, IP) remains your property. We use it solely to deliver your engagement.
- Sample and case study use. We may reference high-level patterns from engagements (e.g., "we worked with a Chicago nonprofit on grant strategy") but we will not name your organization or share identifying details without your written consent.
6. Confidentiality
Information you share with us in the course of an engagement is treated as confidential. We do not share it with third parties except processors required to deliver the service (Anthropic for generation, Stripe for payment, Resend for email, etc.). We use commercially reasonable measures to protect it.
If you are bound by a confidentiality obligation that you wish to extend to us in writing, we will sign a mutual NDA at no charge before the engagement begins.
7. AI-generated content disclosure
The AI Readiness Self-Audit and certain paid deliverables include content generated by Anthropic's Claude AI under our direction. We review AI-generated content for accuracy and brand voice before delivery. Despite our review, AI may produce inaccurate or incomplete information. You should treat all deliverables as informational starting points, not definitive guidance, and verify factual claims (peer organizations, funder details, financial figures) before acting on them.
8. No professional advice
Project Baseline is a strategy consulting practice. We are not a law firm, accounting firm, financial advisor, or investment advisor. Nothing on our website or in any deliverable constitutes legal, tax, financial, investment, or medical advice. For advice in those areas, retain a licensed professional in your jurisdiction.
9. Limitation of liability
To the maximum extent permitted by law:
- Our total liability to you for any claim related to a service is limited to the amount you paid for that service in the 12 months preceding the claim.
- We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, loss of data, or business interruption.
- We are not liable for outcomes you achieve or fail to achieve based on our deliverables.
This limitation applies whether the claim is in contract, tort, statute, or otherwise.
10. Indemnification
You agree to indemnify and hold harmless Project Baseline LLC, its officers, employees, contractors, and affiliates from any claim arising out of (a) your breach of these Terms, (b) your misuse of our services or deliverables, or (c) your violation of any law or third-party right in connection with your use of our services.
11. Acceptable use
You agree not to:
- Use our services for any illegal purpose
- Submit false or misleading information in audit forms or intake forms
- Attempt to reverse engineer, scrape, or replicate our methodology or engine
- Use our deliverables to train competing AI models or services
- Resell or sublicense our deliverables without written permission
- Submit content that infringes any third-party intellectual property right
12. Termination
We may terminate or suspend your access to our services immediately, without notice, for breach of these Terms or any acceptable use violation. Upon termination, your right to use the service ends. Sections that by their nature should survive termination (intellectual property, confidentiality, indemnification, limitation of liability, governing law) survive.
13. Governing law
These Terms are governed by the laws of the State of Illinois, USA, without regard to conflict of laws principles. Any dispute arising under these Terms shall be resolved in the state or federal courts located in Cook County, Illinois, and you consent to that jurisdiction.
14. Disputes
Before filing a lawsuit, you agree to attempt to resolve the dispute by emailing us a clear description of the issue and proposed resolution. We agree to respond within 30 days. If we cannot resolve the dispute informally within 60 days, either party may pursue formal remedies.
15. Modifications
We may update these Terms. The "Effective" date at the top reflects the latest version. Material changes will be communicated to active clients via email at least 14 days before they take effect. Continued use of the service after the effective date constitutes acceptance.
16. Severability and entire agreement
If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. These Terms, together with our Privacy Policy and any signed engagement agreement, constitute the entire agreement between you and Project Baseline regarding the service.
